Terms of Service

By creating an account or using Ocean, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use Ocean.

These terms constitute a binding agreement between you (and the business you represent) and the operator of Ocean, a company registered in Romania (EU). Romanian law governs this agreement.

To use Ocean, you must:

• Be at least 18 years old
• Be acting on behalf of a business or as a self-employed professional — Ocean is not intended for personal consumer use
• Have the legal authority to bind the business you represent to these terms
• Have legitimate access to any Shopify store you connect to Ocean — either as the store owner or as an authorized user
• Not be located in a jurisdiction where use of the service is prohibited by law

You are responsible for maintaining the security of your account credentials. Do not share your password or session with others — use Ocean's workspace invitation system to add collaborators.

You are responsible for all activity that occurs under your account. Notify us immediately at support@oceaneditor.com if you suspect unauthorized access.

Each account belongs to one person. Workspaces are the mechanism for team collaboration. You may create or join multiple workspaces within your account.

You agree not to:

• Use Ocean for any unlawful purpose or in violation of any applicable laws or regulations
• Connect Shopify stores that you do not own or do not have explicit permission to manage
• Attempt to reverse engineer, decompile, or extract the source code of Ocean
• Resell, sublicense, or provide access to Ocean to third parties without our written consent
• Use Ocean to transmit malware, spam, or any harmful or malicious content
• Attempt to gain unauthorized access to Ocean's systems, infrastructure, or other users' data
• Interfere with the integrity or performance of the service
• Use automated tools to scrape or extract data from Ocean beyond what is permitted by our API, if any

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice, depending on severity.

Plans

Ocean offers subscription plans at the prices and terms listed on our pricing page. We reserve the right to modify plan features and pricing with reasonable notice.

Payment

Payments are processed by Lemon Squeezy. You will be redirected to Lemon Squeezy's hosted checkout to enter payment details. We do not store your card number or banking information.

Subscriptions renew automatically at the start of each billing period unless cancelled before the renewal date.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.

Refunds

All sales are final. We do not offer refunds for partial billing periods or unused subscription time. If you believe there has been a billing error, contact us at support@oceaneditor.com within 14 days of the charge.

Price changes

We will provide at least 30 days' notice of price changes by email. Continued use after the effective date constitutes acceptance.

Failed payments

If a payment fails, we will attempt to retry and notify you by email. Persistent failures may result in service suspension until payment is resolved.

Our property

Ocean — including its codebase, UI, editor technology, AI prompting systems, all underlying infrastructure, and the Template Library (pre-built templates, blocks, and sections) — is owned by us and protected by applicable intellectual property laws. These terms do not grant you any rights in Ocean beyond the limited right to use the service as described herein.

Your property

You own your Shopify theme files, your design edits, and all content you create using Ocean. We claim no ownership over your output.

License you grant us

By using Ocean, you grant us a limited, non-exclusive, royalty-free license to:

• Store, process, and sync your theme files as necessary to provide the service
• Use anonymized, aggregated usage data (not your actual theme content) to improve Ocean's features, AI models, and product experience

This license does not permit us to sell your content, share it with third parties for their benefit, or use it for any purpose beyond operating and improving Ocean.

Ocean includes a library of pre-built Shopify theme templates, blocks, and sections (the "Template Library"). The Template Library and all its contents — including Liquid code, CSS, layout structures, and design patterns — are our proprietary intellectual property.

What you may do

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Use templates from the Template Library to build Shopify themes for yourself or your clients
• Modify templates to suit your project's specific requirements
• Publish themes built using templates to Shopify stores you own or manage on behalf of clients
• Use templates across multiple projects within your Ocean account

What you may not do

• No redistribution. You may not redistribute, share, publish, or otherwise make template source files available to any third party, whether modified or unmodified, and whether for free or for payment.
• No reselling. You may not resell, sublicense, or commercialize templates or derivative works based on them as standalone products — including on theme marketplaces, digital asset marketplaces, or via private channels.
• No competing template libraries. You may not use templates from the Template Library as the basis for a competing template library, component library, or design system offered to third parties.
• No extraction. You may not extract, copy, or reproduce templates outside of Ocean's interface for the purpose of using them independently of the service.

This license terminates automatically upon cancellation or termination of your Ocean subscription. Themes already published to Shopify stores before termination are not affected.

Ocean connects to your Shopify store via Shopify's official OAuth flow. By connecting a store, you represent that:

• You are the store owner or have explicit authorization from the store owner to connect it to third-party applications
• You have the right to grant Ocean access to read and write theme files on that store

Ocean stores an encrypted Shopify access token to perform theme sync operations on your behalf. We access your Shopify store only as directed by your actions in the editor. We do not access customer data, orders, or any Shopify data outside the theme files scope required by our app permissions.

Your use of Shopify is separately governed by Shopify's Terms of Service. Ocean is not affiliated with or endorsed by Shopify Inc.

Ocean's AI editing features are powered by Google Gemini. By using AI features, you agree that:

• Your prompts and relevant theme code context will be sent to Google's Gemini API for processing
• AI-generated code and suggestions are provided for your review — you are responsible for any code you choose to publish to your Shopify store
• You will not submit prompts that include sensitive personal data belonging to your customers or third parties
• You will not attempt to use AI features to generate malicious code, circumvent security measures, or violate any applicable laws

We make no warranty that AI outputs will be accurate, complete, or fit for any particular purpose. All AI suggestions should be reviewed before being published to a live store.

Ocean is provided "as is" and "as available" without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

You are responsible for how you use Ocean. Ocean is a tool that assists you in editing Shopify theme files. Any changes you review, approve, and publish to your Shopify store are your responsibility. We are not liable for the consequences of publishing theme changes to a live store, including lost sales, broken storefronts, or data issues.

We do not warrant that the service will be uninterrupted or error-free, that defects will be corrected, that theme file syncs will be lossless in all circumstances, or that AI-generated code will be accurate, complete, or suitable for your use case.

We are in beta. We do not offer an uptime SLA during this period. We will work to minimize disruption but cannot be held liable for downtime or data unavailability.

To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or related to these terms or your use of Ocean is limited to the greater of:

• The total fees you paid to us in the three months preceding the claim, or
• €100

We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.

Nothing in these terms limits liability that cannot be limited under Romanian or applicable EU law.

These terms are governed by the laws of Romania and applicable EU regulations, without regard to conflict of law principles.

Before initiating any formal legal proceedings, we ask that you first contact us at support@oceaneditor.com to attempt to resolve the dispute informally. We will make a genuine effort to resolve complaints within 30 days.

Any disputes that cannot be resolved informally are subject to the exclusive jurisdiction of the courts of Romania.

We may update these terms as Ocean evolves. For material changes, we will notify you by email at least 30 days before the change takes effect, unless a shorter period is required by law.

Continued use of Ocean after changes take effect constitutes acceptance of the updated terms. If you disagree with the changes, you may cancel your subscription before the effective date.

The "Last updated" date at the top reflects the current version.
